1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and KronBidding ("Company," "we," "us," or "our") concerning your access to and use of our programmatic advertising platform and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Services.

2. Services Description

KronBidding operates a programmatic Ad Exchange (ADX) platform that connects buyers (advertisers, agencies, DSPs) with sellers (publishers, app developers, SSPs) to facilitate real-time bidding and ad inventory transactions across multiple channels including:

• Mobile In-App advertising
• Connected TV (CTV) advertising
• Web display advertising
• Various ad formats (banner, video, native, interstitial)

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

3.2 Account Creation

To access certain features of our Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason we deem appropriate, with or without notice.

4. Acceptable Use Policy

You agree not to use our Services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit malware, viruses, or other harmful code
• Engage in fraudulent, deceptive, or misleading practices
• Generate artificial or invalid traffic, clicks, or impressions
• Circumvent or manipulate our fraud detection systems
• Display prohibited content (illegal, harmful, discriminatory, or explicit material)
• Violate intellectual property rights of others
• Interfere with or disrupt our Services or networks
• Attempt unauthorized access to our systems
• Use automated means to access our Services without permission

5. Content Standards and Compliance

5.1 Ad Content Requirements

All advertising content must comply with:

• Our content policies and brand safety guidelines
• Industry standards (IAB, MRC guidelines)
• Applicable advertising laws and regulations
• Platform-specific policies (iOS, Android, CTV)
• Privacy regulations (GDPR, CCPA, COPPA)

5.2 Prohibited Content

The following content is strictly prohibited:

• Adult content or sexually explicit material
• Violence, hate speech, or discriminatory content
• Illegal products or services
• Misleading or false advertising
• Malware or malicious software
• Copyright or trademark infringement
• Content targeting children without proper compliance

6. Payment Terms

6.1 For Buyers

Buyers agree to pay for all winning bids and delivered impressions. Payment terms, billing cycles, and credit limits will be specified in your individual agreement. Late payments may result in account suspension and interest charges.

6.2 For Sellers

Sellers will receive payments according to the agreed revenue share model and payment schedule. We reserve the right to withhold payments in cases of suspected fraud, invalid traffic, or Terms violations pending investigation.

6.3 Fees and Charges

Our platform charges may include transaction fees, platform fees, and service fees as specified in your agreement. All fees are non-refundable unless otherwise stated.

7. Intellectual Property Rights

The Services and all content, features, and functionality are owned by KronBidding and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our Services for their intended purpose. You may not copy, modify, distribute, sell, or lease any part of our Services without express written permission.

8. Data Protection and Privacy

Your use of our Services is subject to our Privacy Policy. You agree to comply with all applicable data protection and privacy laws in your use of our Services, including obtaining necessary consents for data collection and processing.

9. Disclaimers and Limitation of Liability

9.1 Service Availability

Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee uninterrupted, timely, secure, or error-free operation of our Services.

9.2 Limitation of Liability

To the maximum extent permitted by law, KronBidding shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or technical failures
• Actions of third parties on our platform
• Invalid traffic or fraudulent activity

Our total liability shall not exceed the amount paid by you to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless KronBidding and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our Services, violation of these Terms, or infringement of any rights of another party.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law provisions.

11.2 Arbitration

Any disputes arising from these Terms shall be resolved through binding arbitration in Hong Kong, except where prohibited by law. You agree to waive any right to a jury trial or to participate in a class action.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after changes become effective constitutes acceptance of the modified Terms.

13. Termination

Either party may terminate these Terms at any time. Upon termination, your right to use our Services will immediately cease. Sections that by their nature should survive termination (including payment obligations, warranties, indemnification, and limitations of liability) shall survive.

14. Miscellaneous

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Entire Agreement: These Terms constitute the entire agreement between you and KronBidding regarding the use of our Services.
